Terms and Conditions & Release from Liability
The following is a contract between Francesca Yoga, LLC (DBA: Low-Key Spiritual) and individuals participating in the 2025 Mindful Alchemy Retreat. Retreat dates are October 30th, 2025 - November 4th 2025.

1. All persons wishing to attend said retreat must agree to these terms and conditions at checkout. All such persons will be bound by the conditions that follow. The person or persons included on the release form are hereafter referred to as "the client." All agreements are made with Francesca Budesheim and Andrea Darji, "the organizers.” 

2. PAYMENT/ACCEPTANCE OF BOOKING: The terms and conditions box must be checked as acceptance of these terms and conditions, as well as the initial payment made today. Client agrees to pay retreat in full as agreed on and understands late payment means potentially forfeiting spot on retreat.

3. CANCELLATION BY THE CLIENT: The cancellation charges are as follows unless otherwise indicated. 

Due to facility costs & timeline, there are no refunds given after any payments on this retreat.

4. CANCELLATION BY THE ORGANIZERS: Francesca Budesheim and Andrea Darji reserve the right to unilaterally cancel a retreat for any reason. While this is unlikely, if such an occurrence should take place, the organizers; liability is expressly limited to the refund of any fees or tuition paid for the retreat.  They are, however, in no way responsible for any other compensation or damages for any loss, consequential or incidental damages, expense, loss of time, airfare, or any other travel cost, or inconvenience of any kind which result from such cancellations. As such, participants are strongly encouraged to purchase private trip insurance.  

None of the above applies to an Act of God, (eg earthquakes, political insurrection, etc.) in which case all situations must be handled on a case-by-case basis depending upon the specific circumstances.  

5. FLEXIBILITY: It is understood that not only the itinerary, but also the travel routes, eating, and general schedules, amenities, and mode of transport may be subject to alteration without prior notice due to local circumstances or events, which may include sickness or mechanical breakdown, flight cancellations, strikes, events emanating from political disputes, entry or border difficulties, climate and other unpredictable or unforeseeable circumstances.

6. ACCEPTANCE OF RISK: Participants expressly acknowledge and understand that any travel away from home involves an element of personal risk and exposure to potential hazards over and above those associated with normal "package" holidays. The client acknowledges that the nature of the tour is adventurous and that such trips naturally involve an amount of personal risk such as illness, stomach upset, sleep loss, bug bites, etc.

7. AUTHORITY ON TOUR: At all times the decision of organizers will be final on all matters likely to endanger the safety and well-being of the retreat. The client must at all times strictly comply with the laws, customs, foreign exchange and drug regulations of all countries visited. Should the client fail to comply with the above, or should the client interfere with the wellbeing of the group then the organizers may order the client to leave the retreat without recourse to any refund.

8. TRAVEL DOCUMENTS: The client must have a valid passport and all visas, permits, and certificates required for the whole of the journey, and the client accepts responsibility for obtaining the same. Information or advice given by the organizers on visas, vaccinations, climate, clothing, baggage, special equipment, etc. is given in good faith but without responsibility on the part of the organizers.

9. FACTORS OUTSIDE THE COMPANY'S CONTROL (FORCE MAJEURE): The organizers will do their best to minimize the effects of matters outside its control, but cannot accept any liability for these matters, which include political disputes, border closures, refusals of visas, industrial action, delayed flights, unforeseeable climate, etc.

10. INSURANCE: It is the client's responsibility to obtain personal travel insurance. The client accepts full responsibility for insurance up to limits that the client may require to cover personal accident, medical expenses, air ambulance, loss of effects, repatriation costs, and all other expenses. The client acknowledges that the price of the retreat does not include the cost of any insurance.

11. RESPONSIBILITY: All services herein are organized by Francesca Budesheim and Andrea Darji, Notice is hereby given that all arrangements made on behalf of retreat participants are made by the organizers on the sole condition that the organizers shall not be held responsible for any injury, death, accident, delay, loss, damage or irregularity that might be occasioned through acts of any company and/or persons engaged in carrying out the arrangements and services of this retreat. Francesca and Andrea act as agents for transport companies, retreat centers, and other contractors and shall not be held liable for any injury, damage loss, delay, or irregularity that may occur, including, but not limited to, any defect in a vehicle or any other form of conveying a traveler, acts of God, detention, delays or expenses arising from quarantine, strike, theft, force majeure, civil disturbance, government restriction or regulation, accident by aircraft, boat, bicycle, scooter, beast of burden, rickshaw, motor vehicle or any other form of transport or in any, guest house, pension, or other form of accommodation. The organizers reserve the right to alter any itinerary or service at any time without penalty to the organizers. The client agrees to submit all travel and health info through the Mindful Alchemy questionnaire form by September 15th, 2025. Any additional expenses or cancellations shall be borne by the client. The organizesr reserves the right to withdraw or refuse any service to any participant at the discretion of the organizers. 

12. YOGA & BREATHWORK: I understand that yoga and breathwork include physical movements as well as an opportunity for relaxation, stress re-education, and relief of muscular tension. As is the case with any physical activity, the risk of injury, even serious or disabling, is always present and cannot be eliminated. If client experiences any pain or discomfort, they agree to listen to their body, adjust their posture and ask for support from Francesca and Andrea Yoga & breathwork is not a substitute for medical attention, examination, diagnosis, or treatment. Client understands that Francesca Budesheim and Andrea Darji are not doctors. Yoga  & breathwork is not recommended and is not safe under certain medical conditions. Client affirms that they alone are responsible for deciding whether to practice yoga & breathwork. Client hereby agrees to irrevocably release and waive any claims that they have now or hereafter may have against Francesca Budesheim and Andrea Darji.

13. MEDIA RELEASE: Client does hereby consent to be personally identifiable in the resulting media from the retreat, regardless of production method, including, without limitation, digital and analog photography and videography, and audio recordings (the “Media”) whether captured or created by Producer directly, or by those acting under Producer’s direction. Client waives any right to approve the eventual use or purpose to which the Media may be applied; or to inspect or approve the finished images or videos.

14. ACCEPTANCE & ACKNOWLEDGEMENT OF CONTRACT AND RELEASE FORM: by agreeing to the terms and conditions at the checkout, the client confirms they have read the attached terms and conditions and accept and they undertake on their behalf and on behalf of any other persons for whom this is a joint booking to accept the terms and conditions of this contract and release of liability.
